Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Target High website, services, and any related communications, including our AI assistant chat widget.

By accessing our site or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our site and services.

We may update these Terms from time to time. Continued use of the site or services after changes are posted constitutes acceptance of the revised Terms.

Description of Services

Target High provides digital marketing and AI strategy services, including search engine optimization (SEO), Google Ads and PPC management, social media marketing and management, Facebook and Instagram advertising, CRM, website design and landing pages, content marketing and email marketing, and analytics, tracking and reporting.

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate proposal, statement of work, or service agreement agreed between you and Target High.

We reserve the right to modify, suspend, or discontinue any service offering at any time, with reasonable notice to active clients where applicable.

Client Responsibilities

You agree to provide accurate, complete, and timely information, materials, and access required for us to deliver the agreed services. This may include brand assets, account credentials, analytics access, and timely feedback on deliverables.

Delays in providing necessary materials or approvals may affect timelines and outcomes. You remain responsible for the accuracy and legality of all content and materials you supply to us.

You agree to comply with all applicable laws and regulations, including advertising standards, consumer protection laws, and platform policies (such as Google Ads and Meta advertising policies).

Fees and Payment

Fees for services are set out in your signed proposal or service agreement. Unless otherwise stated, invoices are due upon receipt or per the payment schedule outlined in your agreement.

Late payments may result in a pause or suspension of services until the outstanding balance is settled. We will provide reasonable notice before any suspension takes effect.

All fees are quoted and billed in Canadian Dollars (CAD) unless otherwise agreed in writing. Taxes, where applicable, are added to invoices in accordance with relevant regulations.

Intellectual Property

All content, strategies, campaigns, and materials created by Target High for a client are transferred to the client upon full payment of all applicable fees, except for any third-party licensed components or our proprietary methodologies and templates.

Target High retains ownership of its proprietary frameworks, processes, templates, and tools developed prior to or independently of the engagement. We may reference the work performed and use the client's name and logo for portfolio and marketing purposes unless otherwise agreed in writing.

You warrant that all materials you provide to us do not infringe the intellectual property rights of any third party, and you remain responsible for securing the necessary rights and licenses for their use.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, financial data, and customer information.

Confidentiality obligations survive the termination of any engagement and do not apply to information that is already public, independently developed, or required to be disclosed by law.

Target High handles personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Warranties and Disclaimers

Target High commits to delivering services with professional care and in accordance with industry best practices. However, marketing outcomes depend on many factors outside our control, and we do not guarantee specific rankings, traffic, leads, or revenue results.

Our services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

Third-party platforms such as search engines and social networks continually update their algorithms and policies, which may affect campaign performance. We are not responsible for changes made by these platforms.

Limitation of Liability

To the maximum extent permitted by law, Target High's total liability arising out of or related to these Terms or any engagement shall not exceed the total fees paid by the client for the specific services giving rise to the claim during the three (3) months preceding the claim.

In no event shall Target High be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising out of or related to the services.

These limitations apply regardless of the legal theory asserted and even if Target High has been advised of the possibility of such damages.

Termination

Either party may terminate an engagement in accordance with the notice period and terms set out in the signed service agreement. Upon termination, the client is responsible for all fees incurred up to the effective date of termination.

Target High may suspend or terminate access to the site or services immediately if a client breaches these Terms, fails to pay invoiced fees, or engages in conduct that we determine is harmful to our business or other clients.

Provisions relating to intellectual property, confidentiality, limitation of liability, and payment survive any termination of an engagement.

Governing Law

These Terms and any dispute arising out of or related to them or the services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

The parties submit to the exclusive jurisdiction of the courts of Ontario, Canada, for the resolution of any disputes, without prejudice to either party's right to seek interim or injunctive relief in any competent court.

For clients located in the United States, these Terms are interpreted to be consistent with applicable U.S. federal and state laws where the client operates.
